1. Legal Basis of the Virtual Office Model in Vietnam

1.1 Substance of Virtual Office under the Perspective of the 2020 Law on Enterprises

Vietnam's current business legal system contains no provisions that prohibit or discriminate against the commercial term "virtual office." The establishment of a legal entity's principal place of business is directly governed by Article 42 of the Law on Enterprises No. 59/2020/QH14 (National Assembly of Vietnam, 2020):

"The principal place of business of an enterprise is located in Vietnamese territory and serves as the enterprise's contact address, determined according to administrative boundaries; it shall have a telephone number, fax number, and email address (if any)."

According to the above regulation, the address where an enterprise's principal place of business is located is recognized as lawful when it satisfies all three prerequisites:

1.      Clearly identified according to administrative boundaries: House number, alley/lane, street/road name, commune/ward/special zone, province/city under central authority.

2.      Contact address with substance: Maintaining a continuous information channel to receive notification of documents, official correspondence, and administrative decisions from state management agencies (Enterprise Registration Office, Tax Authority, Social Insurance, Courts).

3.      Lawful premises function: Not falling within purely residential apartment use as defined by the Housing Law.

The law does not restrict the number of legal entities permitted to establish their principal place of business at a specific office building address. Therefore, multiple enterprises entering into service contracts to rent a business registration address at one commercial building is a lawful civil transaction (Pham, 2022).

1.2 Legal Value of the Business Registration Address Rental Contract

A virtual office service rental contract is an intersection between a property rental contract and a commercial service supply contract, established based on:

·       Civil Code No. 91/2015/QH13: Regulates freedom of contract, property rights, and civil liability of the parties (National Assembly of Vietnam, 2015).

·       Law on Real Estate Business No. 29/2023/QH15: The lessor must have lawful ownership rights or exploitation/sub-lease rights to the commercial floor area (National Assembly of Vietnam, 2023).

To limit risks during post-inspection by state agencies, a virtual office contract must satisfy the following conditions:

·       The lessor demonstrates full evidence of lawful exploitation rights (Building Permit with office function, or Property Management Contract with sub-lease rights).

·       Contractual commitment allowing the tenant to use the address to submit documentation for ERC application, display business signage in the building lobby, and lawfully authorize the lessor to receive and sign for documents and mail from the tax authority.

·       The lessor must issue lawful Value Added Tax (VAT) invoices for periodic rent so that the tenant can deduct input VAT and calculate it as a reasonable expense deductible when determining corporate income tax (CIT) under the Law on Value Added Tax No. 48/2024/QH15 and the Law on Corporate Income Tax No. 67/2025/QH15.

2. Legal Risks When Choosing Low-Quality Virtual Offices

2.1 Risk of Tax Authority Suspending Tax Code Due to Non-Presence at Registered Address

The most common and severely disrupting risk to business operations for enterprises using cheap, unregistered virtual offices is the tax authority placing them in Status 06: "Taxpayer not operating at the registered address" (General Department of Tax of Vietnam, 2023).

·       Status 06 Activation Mechanism:

o   Tax Notice Loss: The tax management authority sends invitation letters, enforcement decisions, or inspection notices through public postal services (registered mail). Self-operated rental facilities do not assign permanent reception staff; postal carriers unable to find a representative to sign for mail will return it to the tax authority with a note "No one to receive at address".

o   Failed On-Site Inspection: District tax officers coordinate with local police/commune People's Committee to conduct surprise on-site inspections at the registered address in accordance with the tax inspection procedure issued with Decision No. 970/QĐ-TCT. If the address is closed, displays no signage, has no staff to receive visitors, or fails to present stored records, the inspection team will prepare a report verifying that the enterprise is not operating at the address (General Department of Tax of Vietnam, 2023).

·       Direct consequences for the enterprise:

o   The TMS system automatically disconnects electronic invoicing; the enterprise is compelled to cease using invoices under Decree No. 123/2020/NĐ-CP (Government of Vietnam, 2020).

o   Commercial banks may temporarily suspend or restrict transactions on the company account when conducting customer information review.

o   The legal representative is listed as high-risk and may be temporarily restricted from leaving the country under Article 66 of the Tax Administration Law No. 38/2019/QH14 (National Assembly of Vietnam, 2019).

2.2 Building Violating Planning Regulations Leading to Business License Revocation

·       Unauthorized or Non-Inspected Fire Safety Building: Buildings that have not received approval for fire safety and rescue inspection results, if ordered to cease operations by competent authorities, will affect enterprises renting virtual offices there, forcing them to change their business registration and undertake complex procedures when relocating.
